Does the price change impact previous investors?

No, the price per share change does not retroactively impact previous investors. Once you purchase shares at a specific price per share, that price remains fixed for your investment. The new price, determined quarterly after June 30, 2024, will only apply to future purchases of shares. Therefore, if you bought shares at $10.00 your cost basis remains $10.00 per Share regardless of future price changes.

All Shares will be issued in electronic form only and will not be listed or quoted on any securities exchange. After a Series’ offering has concluded, we expect that the Public Private Execution Network Alternative Trading System, or PPEX ATS (the “Secondary Trading Platform”), which is registered with the SEC and operated by North Capital Private Securities Corporation (“North Capital”), will be the only venue available for the resale of Shares.
